今日（6月30日）早间，拼多多向美国证券交易委员会SEC提交招股说明书。文件显示，拼多多计划通过IPO交易筹资最多10亿美元，此次IPO由瑞银、高盛和中金联合承销。拼多多尚未确定发行价、发行量，以及具体交易所。
在招股书中，拼多多称将把上市募集到的资金用于三方面：其一，扩大业务规模；其二，技术投入和研发；其三，一般企业运营，包括将投资或收购一些项目。
在提交招股书同时，拼多多创始人黄峥发了致股东信。在信中他提及拼多多成立三年就上市的原因：“我们相信拼多多有巨大的潜力，往后看3年、5年还是更长的时间上市其实没实质区别。相反，在公众的监督下，我们可以成长得更好更强。”
或将成为第三大电商平台
从招股书上看几个电商硬指标：
GMV：拼多多在2017年全年交易额（GMV）为1412亿元（226亿美元），2018年第一季度交易额为662亿人民币（106亿美元）。
订单数：2017年和2018年第一季度，拼多多订单总数分别为43亿单和17亿单。
用户数和商家数：截止2017年12月31日月活跃用户为6500万人，截止2018年3月31日，月活跃用户1.03亿人。用户增速较快，一个季度，月活增长近4000万。
截至2018年3月31日止的12个月内，拼多多平台活跃商户数量超过100万家。
这些数字意味着拼多多将成为中国第三大电商平台。
广告收入持续提升，但没有摆脱亏损
招股书显示，拼多多2016年收入为5.05亿元人民币，2017年全年收入为17.44亿元人民币，2018年Q1收入为13.85亿元人民币。
收入主要来自两方面，对商家的在线营销服务（主要指广告），以及商品销售收入。拼多多在广告上的收入大幅度提高，2016年为4830万元，到2017年飙升至17.407亿元，到2018年一季度就达到13.846亿元，同比增长37倍。
而另一方面，拼多多在商品销售方面的收入持续降低。2016年为4.566亿元，2017年降到340万元，到2018年第一季度为0.
从中也可见拼多多商业模式从此前依赖商品销售到2017年转为对商家的在线营销，出现巨大转化。
虽然收入保持高增长，但亏损也在扩大。2016年和2017年分别发生2.92亿元人民币和5.25亿元人民币净亏损。而在拼多多的2018年Q1受大幅扩张市场需要，销售与市场支出达到12.17亿元，平台单季发生2.01亿元人民币净亏损。加上期权支出，三年总计亏损13.12亿元（含期权支出）。
黄峥持股50.7%，腾讯持股18.5%
招股书显示，公司创始人、董事长兼首席执行官黄峥在拼多多所占股比为50.7%，对公司拥有绝对控制权。腾讯所占股比为18.5%，高榕资本所占股比为10.1%，红杉资本所占股比为7.4%。黄峥计划在本次发行后，拿出其拥有的2.3％公司股份成立私人慈善基金。
此前拼多多曾获得四轮融资：2015年，A轮由高榕资本领投，IDG资本跟投，具体金额没有公开；2016年7月，B轮继续由高榕资本领投，新天域资本、腾讯产业共赢基金、光速资本、凯辉基金等跟投；之后，高榕资本继续参与了C轮和D轮的投资。
为什么着急上市？
拼多多成立只有三年，仍存在供应链管理、商品品质等方面的问题。
十几天前，拼多多部分商家聚集在拼多多上海总部维权，指责拼多多条款严苛，罚金过高。
在这种情况下，拼多多依然选择这么早进入不可控的资本市场，黄峥在给股东的一封信中提及三个原因：
- 我们认为拼多多的业务类型本来就有很强的社会性，所以它终将走向公众，所有的成长也应该为公众所分享。
2.我们相信拼多多有巨大的潜力，往后看3年、5年还是更长的时间上市其实没实质区别。相反，在公众的监督下，我们可以成长得更好更强。
3.我们希望拼多多是一个公众的机构。它为最广大的用户创造价值而存活。它不应该是彰显个人能力的工具， 也不应该有过多的个人色彩。
与此同时，它应该作为一个独立的公众机构，展示它作为一个机构独特的社会价值、组织结构和文化，并且因循者它自身独特的命运生生不息，不断演化。
刨去这些场面话，其实更可能的原因应该是：一方面，目前经济形势并不乐观，资金趋于紧张。很多科技公司抢在这个窗口期上市，是因为判断在未来的一年甚至半年内，互联网公司估值爆发式增长的时代即将过去。
另一方面，拼多多现在是低价低质模式，未来必向优质路线转型。而这需要在寒冬之前屯够草粮。
专访黄峥：用户已认可拼多多 无所谓消费升降级
新浪科技讯 7月26日下午消息，拼多多创始人及CEO黄峥今日在上海与新浪科技等多家媒体沟通，期间他表示，拼多多的用户增长和留存，已经证明了大多数人对平台上商品质量的认可。而电商需要解决的，更多是中国发展不均衡背景下，消费者追求个性化、差异化和公平的需求。
坚持价值观不使用超募提价权 资本市场对待拼多多更理性
今日早些时候，拼多多将发行价最终确定为19美元，达发行价格区间上限。有接近拼多多项目的市场人士表示，拼多多本次美股IPO认购已经超募20倍，富达基金、Capital、阿布扎比主权基金等主流机构已参与认购。
由于超募倍数较高，拼多多有权行使提价20%的权利，将发行价调整至22.8美元。但该人士表示，黄峥坚持以19美元定价。
在与媒体沟通过程中，黄峥称不提价的原因是表明自身的价值观。他向新浪科技坦言，对于提价，最初不是没有心动过，但拼多多的价值观是“本分”。在他看来，此时提价，有一种占便宜的感觉。
谈及认购超募，黄峥表示，美国资本市场相对成熟理性。在短时间内的发展规模，和新商业模式的探索方面得到了资本市场的认可。他将比喻拼多多的商业模式比喻成发现新大陆，未来仍有很大的成长空间，这也是公司上市前获得超额认购的原因之一。
公司增长不存在天花板 用户见顶后客单价还有提升空间
黄峥表示，平台的成长空间一方面来自于用户增长。他说，拼多多目前仍然保持很高的用户成长速度，但限于美股IPO缄默期规定，他没有透露更多数据。
招股书显示，截至今年3月31日，拼多多平台上的活跃买家用户已经达到2.95亿人。而截至2017年12月31日，平台活跃买家用户为2.45亿人。仅一个季度内，拼多多就已经获得了5000万用户的增长。
但飞速发展的背后，面临的是天花板的快速临近。根据今年1月中国互联网络信息中心今年1月发布的第41次《中国互联网络发展状况统计报告》，我国目前网民规模为7.72亿人，其中网络消费用户5.33亿人。按照目前的速度，拼多多或许会很快面临用户增长的极限。
对此，黄峥认为在用户增长之外，客单价在未来也有逐步提升的空间。他表示，在电商领域，用户端往往呈指数型增长。相对而言，供应端增长则较为缓慢，往往是线性增长。因此，即便用户数量增长放缓，客单价也会因为供应端商品品质的提升逐步提高，成为未来主要的发展动力。
用户已用脚投票认可拼商品品质 平台围绕消费者创造“实惠”价值
一直以来，拼多多因为商品质量饱受争议。但黄峥表示，用户实际上已经用脚投票，证明了拼多多平台上的商品品质。
他表示，拼多多能够获得高速发展，核心原因是高性价比。作为新生事物，拼多多的商业模式被更广泛人群接受需要过程，但消费者对平台提供的价值感触更加直接。
招股书显示，截至今年3月31日，拼多多的月活用户已经达到1.66亿人，约占整体用户规模的56%。黄峥认为，用户的高留存率证明大部分人对拼多多的商品质量是认可的。
谈及对消费者创造的价值，黄峥认为更多是“实惠”。“拼多多的商业模式其实是线下的翻版”，他认为拼购的模式早已经在庙会、团购等线下消费场景中出现，而拼多多只是在这个方向上继续探索。
不过，他也表示，拼多多规模的快速扩大，背后有宏观环境的原因。而规模扩大后，拼多多出现的问题也会变成社会问题。黄峥说，公司上市后可以处在更加严格的监管之下，能够通过更好的方法公开信息，这也是选择此时上市的原因之一。
平台商家需要迭代 平台环境有利品质提升与C2M发展
值得注意的是，在提交招股书后，拼多多与商家之间的矛盾也开始浮出水面。今年7月，不断有商家前往拼多多位于上海的总部抗议，原因是因为违规，平台冻结了这部分商户近40万元的钱款。
新浪科技调查发现，这些商家普遍存在描述不实、关联交易和物流造假的情况。而业内也有观点认为，拼多多的服务管理等环节尚待优化，且大量资金和广告买流量的方式不可持续，要想长远发展，须完成由量到质的转变。
不过在黄峥看来，拼多多目前与商家的矛盾，原没有淘宝早期时的情况严重。“矛盾肯定会有，就像过日子，总是不吵架的夫妻一吵架肯定离婚。”他认为，更重要的在于缩短解决矛盾的时间过程。
此外，他还对新浪科技表示在平台模式下，良性的竞争才能带来品质上升，在一些品类中也有利于C2M（customer to manufacturer，消费者与制造商直接交易——新浪科技注）模式的发展。
实际上，公司发展初期，曾经面临过自营还是平台模式的选择。招股书显示，面向商户收取在线营销服务费用已经成为拼多多主要的收入来源。而另一方面，公司早期的“拼好货”自营业务已经停止贡献营收。
黄峥表示，公司在拼好货业务方面，并非没有能力。但虽然初期效果好，也有利于品控和口碑，但规模上升后，后期成本会逐渐增加。平台模式最初可能会面临各种问题，但各方面经过迭代后，后期反而能够体现出规模优势。
在他看来，商户也是拼多多平台上需要迭代的内容之一。这也是拼多多未来继续增长的关键因素。
无所谓“消费升降级” 电商更应关注消费不均衡
今年年初，曾有声音戏谑拼多多、今日头条和快手为“消费降级”的三驾马车。但当新浪科技向黄峥问及自己是否认为拼多多是“消费降级”时，他表示自己很反感类似的词语。
他表示，反感的原因来自于两方面：经济发达地区不需要所谓“每个人都用法国香皂”的消费升级；而消费者对升级的需求也各有不同。
“就像有的人之前没用过厨房纸，开始使用后，这对他来说也是一种升级。”黄峥举例说明。
在黄峥看来，中国主要的问题还是发展的不均衡。他对刘强东“越穷的地方东西越贵”的观点表示认同。而在这一大背景下，消费者追求个性化、差异化和公平的需求其实在不断增长。拼多多实际上是在拉平这种消费的不均衡。
黄峥曾经表示过“五环内的人不懂拼多多”，但当新浪科技从此引申，追问他是不是其实是“五环外的消费升级”时，黄峥不置可否。
“你可以这么理解，但所谓升降级，无所谓的。”他表示。(周峰)
