【亿邦动力讯】3月16日消息，社交电商平台花生日记因涉嫌传销（直销）违法行为，被广州市工商行政管理局在14日责令处罚150万元，没收违法所得7306.58万元。
亿邦动力了解到，花生日记App在2017年7月28日开始上线运营。花生日记按照消费者喜好、推广费用金额大小等设置筛选条件，主动选择推介“淘宝联盟”中相关商家的商品信息。平台还规定只有注册成为花生日记会员，才能登录浏览商品信息，并通过平台链接跳转至天猫或淘宝购买商品。
广州市市场监督管理局的行政处罚决定书显示，从2017年7月28日至2018年9月25日立案期间，花生日记以平台运营商可获取其发展的会员所购买的商品一定比例的佣金为诱饵，发展了多个粉丝数量多、流量大的流量运营公司，作为其分公司，再由这些分公司去管理运营商，运营商负责发展会员，按照层级提取酬金。
同时，花生日记还通过设定“平台（分公司）—运营商—超级会员—超级会员... ...超级会员”的层级式管理架构，采取多层级佣金计提制度和会员升级费用等手段，发展会员2100多万人，会员层级最多达51级，会员遍及全国各省市，收取佣金金额达4.57亿元。
亿邦动力从行政处罚决定书中了解到，花生日记采用传销方式从事经营活动的情况包括以下几种形式：
1、发展花生日记APP平台会员，收取“超级会员”费用。花生日记于2017年7月28日至2018年1月15日间，规定会员只能领取花生日记平台的优惠券，而只有超级会员以及运营商才能获得发展他人加入并从下一级会员消费金额中提取佣金。会员如果希望升级成为超级会员，则需要交纳99元升级费用。在上述期间，花生日记共发展超级会员7247人，收取费用71.75万元。 后鉴于有会员投诉，从2018年1月16日起花生日记修改了上述规则，将会员和超级会员进行合并，用户一经注册就成为超级会员，不再收取费用。
2、花生日记以平台形式管理运营商，并以运营商为金字塔顶层各自发展下级超级会员，最终通过会员消费实现层级计酬。花生日记通过各种渠道发展粉丝数量多、流量大的流量运营公司作为其分公司，分公司依据与花生日记的协议，主要负责发展和管理运营商，并通过微信、微博、朋友圈、快手、抖音等社交平台，以及在线下散发宣传单或宣传手册等方式推广平台，宣传花生日记的经营模式和经营理念。 运营商为花生日记经营模式中的重要一环，其主要作用为通过大量发展下级会员，以获取下级会员消费后的佣金计提。
而这些运营商同时也是“淘宝联盟”旗下的“淘宝客”，且绝大部分为自然人。运营商主要通过以下两个途径产生，一是由分公司直接将其名下有“流量”的成员发展成运营商，配发运营商ID；二是超级会员成长值达达到5000点、自愿升级做运营商（成长值的计算规则由花生日记制订，主要包括超级会员的引流人数、订单数量、每日登录、完善头像、完善昵称、绑定支付宝等条件）。
此外，超级会员升级成为运营商后，便与原上级的运营商脱钩，其之前直接或间接发展的会员，全部转为他的下级，成为新的链条，并可以按照运营商的规则从其下级所有超级会员购物金额提取佣金。
花生日记通过不断重复上述过程，不断有新的超级会员通过发展人员升级成为运营商，从而形成了归属平台的3万多以运营商为金字塔尖、纵深不断发展超级会员的金字塔推荐结构。
据悉，截止至2018年9月25日，“花生日记”APP平台形成了31530个以运营商为塔尖的金字塔结构，会员总数超过2153万人，其中组织结构达到三级及三级以上层级的会员超过2149.61万人，占了全部会员人数的99.82%，层级最多的链条已经发展至51层。
而花生日记佣金基本分配规则为，超级会员通过平台购买商品产生佣金后，花生日记剔除淘宝（中国）扣除的10%至12%佣金服务费后，将剩余佣金视为100%，由花生日记平台计提18%，运营商计提22%，余下部分按照50%和10%的比例，分发给购物的超级会员及其上一级会员。
同时，花生日记佣金的分配按月结算，具体为当月结算上月产生的佣金，该佣金由淘宝（中国）完成核算并扣除佣金服务费后，将佣金转至运营商（同时也是淘宝联盟的淘宝客）账下，运营商在扣除其22%计提后，将剩余的78%佣金以充值方式缴至平台。花生日记通过平台计提18%，然后将50%划给购物的超级会员，将10%划给该购物会员的上一级会员。花生日记还制定了除平台外的运营商——购物会员的上级会员——购物会员三层的佣金计提规则。
根据广东鑫证司法鉴定所鉴定，2017年7月28日至2018年9月25日，淘宝（中国）与花生日记结算了超过9425.38万条订单。在这期间内，除去淘宝扣除的推广服务费后，平台共产生佣金4.02亿元，而通过传销方式获取非法所得7234.83万元。 综上，认定花生日记从事传销活动违法所得合计7306.58万元。
值得一提的是，一份在花生日记会员当中广流传的未经官方确认的“花生日记的内部文件”中提及，花生日记已经计划在2020年在美国纳斯达克上市，为此花生日记从2018年1月份开始对所有业务进行合规性准备，保证公司所有业务都合乎国家法律法规，顺利上市。

该文件还表示，经咨询律师和工商部门意见，花生日记发现在2018年1月份之前有收取会员99元会费，违反了我国相关法规，因此主动向工商部门提交罚款并达成谅解。自云集之后，花生日记也缴纳了社交电商的第二笔史上最贵的学费——7000多万元。同时，花生日记已于2018年2月起不收取任何费用，在2、3月中旬接入淘宝联盟渠道ID,按照企业运营规范化发展，来保障运营中心和运营商的可持续发展，与花生日记公司一起完成IPO。
此外，该文件还疑似透露了公司的融资进展和上市进度，称花生日记在2018年4月完成A轮融资3000万美金，近期又完成A+轮融资6000万美金。而在上市层面，花生日记近期完成了海外VIE架构搭建，并在2019年6月份计划完成B轮融资，2019年12月份计划完成C轮融资，最终在2020年在美国纳斯达克上市。
